Terms and Conditions
WHEREAS, the Buyer desires to purchase from ProductResale.com (the "Seller"), and Seller desires to sell to the Buyer the following items (the "Equipment") from upon the terms and conditions set forth herein:
The Buyer and ProductResale.com (the "Seller"), hereby agree to the Purchase Price listed within the advertisment for sale for good and other valuable consideration recited herein, the receipt and sufficiency of which is hereby acknowledged and agreed to as follows.
1. Purchase and Sale. The Buyer and ProductResale.com (the "Seller"), hereby agree that upon completion of the check out procedure, the sale shall become a binding agreement between Buyer and Seller: (i) selecting the checkout option by Buyer and the payment in full by the Buyer of the Purchase Price; (ii) the receipt of such items by Seller; and (iii) the execution and delivery of sale receipt from Seller to Buyer.
2. Purchase Price; Payment. Payment in full of the Purchase Price will be deemed to have occurred when payment has been received and cleared. We accept only Visa, MasterCard and American Express Credit Card Payments. All credit card payments must be made online by using the checkout procedure. Any excise, sales, use, transfer, value added or other tax required to be made to any governmental entity in connection with the sale of the Equipment shall be paid one hundred percent (100%) by the Buyer.
3. Delivery. Except as the Buyer and Seller may otherwise agree, all Equipment shall be shipped by the Seller to Buyer at the Buyers expense. The risk of loss of the Equipment shall pass from Seller to Buyer after delivery by Seller of the Equipment to a common carrier. A sales receipt will be included in with the delivery of the Equipment.

5. Buyer Obligations. The Buyer acknowledge and agrees that the electronics, computers or lab Equipment may contain hazardous materials such as lead, mercury, cadmium, PCBs or toxic contaminants that will contaminate the environment if disposed of improperly. The Buyer agrees to process, recycle, resell, displace or dispose of all Equipment in compliance with all relevant laws and regulations. The Buyer hereby agrees, at its sole cost, to indemnify and hold harmless Seller and all previous equipment owners against any and all liabilities resulting from handling, use, misuse or disposition of the Equipment after it is received by Buyer.
6. Miscellaneous. This sale transaction shall be governed by the laws of the State of New Jersey, and any dispute arising hereunder shall be settled before a court or arbitration panel in New Jersey .
